SEO Marketing GmbH

1 General provisions

1.1 Application

These General Terms and Conditions apply exclusively to customers acting in the exercise of their trade, business or independent profession when entering into the contract (business customers within the meaning of section 14 BGB), as well as legal entities under public law and special funds under public law. They govern general agency services; services of the online shop are governed by its separate shop terms.

These General Terms and Conditions apply to contracts between SEO Marketing GmbH and its customers insofar as their application has been validly agreed. The version incorporated when the contract was concluded is decisive. A new version applies to existing contracts only if validly agreed or if directly applicable statutory provisions provide otherwise.

In the event of a discrepancy, the specifically and individually agreed provisions of the accepted quotation take precedence over these General Terms and Conditions. Other individual contractual agreements also retain precedence. This order of precedence does not restrict mandatory statutory provisions.

1.2 Other terms

Terms and conditions of the customer or third parties do not apply, even if SEO Marketing GmbH does not separately object to them in an individual case. Reference by SEO Marketing GmbH to a document containing or referring to such terms does not constitute agreement to their application.

1.3 Services of SEO Marketing GmbH

SEO Marketing GmbH offers services including website creation and development, search engine optimisation, hosting, campaign management, and website maintenance. The specific scope of services is agreed between SEO Marketing GmbH and the customer.

1.4 Subcontractors

SEO Marketing GmbH may subcontract necessary services in its own name and at its own expense. SEO Marketing GmbH remains the customer's contracting party and responsible for the obligations it has undertaken. The customer's identifiable legitimate interests must be taken into account. Processing of personal data is also subject to statutory requirements, in particular Article 28 GDPR, and the required data processing agreement; these Terms do not replace any authorisation of further processors required under that agreement.

1.5 Communication

Each party designates a contact person for performance of the assignment. Such contact persons may make legally binding declarations only within the scope of the authority actually granted to them.

2 Formation of the contract

2.1 Acceptance

Where SEO Marketing GmbH sends the customer a binding quotation, the contract is formed by the customer's timely acceptance, in particular by signing or confirming by email. The acceptance period stated in the quotation applies; if no period is stated, statutory rules apply.

2.2 Orders based on non-binding quotations

Where a quotation or service description of SEO Marketing GmbH is expressly designated as non-binding, the customer's order constitutes an offer to enter into a contract. In that case, the contract is formed only when SEO Marketing GmbH expressly accepts the order or notifies the customer that it is starting the ordered services and actually starts them. Statutory acceptance periods apply unless a permissible different period has been agreed in the individual case.

The mere absence of a rejection by SEO Marketing GmbH does not constitute acceptance. Statutory rights of withdrawal and termination remain unaffected.

3 Customer cooperation

3.1 Rights in third-party content

The customer must ensure that the texts, images and other content it supplies, and its instructions, can be used lawfully without infringing third-party rights. SEO Marketing GmbH does not provide legal advice and is not required to conduct trademark searches or a comprehensive legal review of the business model or supplied content. Responsibility for its own breaches of duty under clause 17 remains unaffected.

3.2 Information supplied by the customer

The customer supplies all information, data, content and access required for the assignment completely, accurately and in good time. It ensures that it holds the necessary rights in the content it supplies.

Unless otherwise agreed, the customer obtains the required images, videos and other design material. SEO Marketing GmbH obtains or creates missing material only on the basis of a prior agreement on scope and cost or within an already approved budget. Placeholders in drafts are discussed with the customer before publication.

3.3 Processing on behalf of the customer

Where individual parts of an assignment require a data processing agreement under Article 28 GDPR, both parties undertake to conclude such an agreement, provided by SEO Marketing GmbH, before the services begin.

3.4 Project delays

If the customer does not provide necessary cooperation on time, affected performance deadlines are extended appropriately insofar as, and for as long as, the delay is caused by that failure. SEO Marketing GmbH informs the customer of the missing cooperation and its identifiable effects on the project schedule. The liability provisions in clause 17 remain unaffected.

3.5 Additional work caused by delays

Remuneration for additional services requires a corresponding agreement. Statutory claims arising from missing cooperation, in particular damages or compensation, exist only subject to their respective statutory requirements. Saved expenses and alternative earnings are taken into account where required by law.

4 Website creation

4.1 Project management

The parties coordinate the project schedule on the basis of the agreed scope of services. SEO Marketing GmbH organises performance using its project management procedures; these do not unilaterally alter the agreed scope of services.

4.2 Subject matter

Website creation contracts between SEO Marketing GmbH and the customer generally cover development of new websites or extension of existing websites, for example integration of new interfaces, in accordance with the customer's technical and/or design specifications. Such contracts are contracts for work within the meaning of sections 631 et seq. of the German Civil Code (BGB).

4.3 Browser compatibility

Unless otherwise agreed, websites are optimised for the current and immediately preceding major versions of commonly used web browsers when the website is made available for acceptance. Display and operation on mobile devices are governed by the accepted quotation and incorporated service description; expressly promised responsive features remain due.

4.4 Scope of services

The services owed are defined in the accepted quotation and validly agreed service descriptions. The customer describes the desired content, functions and design requirements as precisely as possible and supplies the agreed material. Within its professional services, SEO Marketing GmbH checks those details for completeness, technical feasibility and inconsistencies and prepares its quotation on that basis. Clause 2 governs formation of the contract.

4.5 Third-party rights and tools

SEO Marketing GmbH is required to review or obtain rights, obtain tools such as statistics tools or certificates such as SSL/TLS, or provide development, application or other documentation only insofar as expressly agreed in an individual contract.

This does not affect provision of information and documents required for the agreed operation, further editing or a transfer of the website that is owed.

4.6 Customer requests

Changes within the agreed scope of services are coordinated between the parties and recorded for documentation purposes in text form, in particular by email. Services outside the agreed scope require an additional agreement on services and remuneration. The precedence of individual contractual agreements remains unaffected.

4.7 Design proposals

Unless otherwise agreed, the assignment includes one to two design proposals and two revision rounds per website. Design choices are made within the agreed brief and scope of services. Specifically promised functions and characteristics remain due. Rectification of defects required by law does not count towards the revision rounds.

4.8 Acceptance

Acceptance of the completed website is governed by clause 12.

4.9 Handover of the website and operating files

The deliverables owed for website creation include the website files required for its agreed operation, including the necessary source code, associated media and databases. The customer receives these components within the scope of the usage rights granted, in a form suitable for continued use. Clause 7.8 additionally applies to a subsequent change of provider.

Purely internal development tools, uncommissioned drafts, internal working documents and version histories are excluded insofar as they are not required for the agreed operation and further editing of the handed-over website and their delivery has not been separately agreed. Rights in content supplied by the customer remain unaffected.

Third-party components are additionally subject to the licence terms disclosed to the customer before the contract is concluded. Known restrictions on transferability or continued operation must be specifically disclosed before conclusion. More extensive statutory or expressly agreed handover and switching obligations remain unaffected. For third-party components additionally agreed later, this information is provided before they are ordered or approved.

4.10 Availability on the internet

Where the customer obtains hosting services for the new website from third parties rather than SEO Marketing GmbH, SEO Marketing GmbH is not responsible for those servers and their configuration, data connections and/or accessibility of the website.

Liability of SEO Marketing GmbH for its own breaches of duty, in particular in agreed development, transfer or configuration services, continues to be governed by clause 17.

5 Search engine optimisation

5.1 Services

SEO Marketing GmbH provides the agreed technical and content measures for search engine optimisation. Unless otherwise agreed, the focus is on the requirements of the Google search engine. Individual measures are selected within the agreed scope of services and taking into account the objectives coordinated with the customer.

5.2 Additional services

The scope and remuneration of additional services and third-party costs, for example hosting changes or licences, are agreed before they are commissioned, unless already covered by an approved budget or the agreed scope of services. Mere notification of costs does not constitute an additional assignment.

5.3 Separate commissioning

Search engine optimisation (SEO) is commissioned separately from other services and is not automatically included in website work.

5.4 Term

The respective accepted quotation and clause 14 govern term, renewal and termination.

5.5 Results

SEO Marketing GmbH owes the agreed measures. Particular rankings, enquiries, revenue or other commercial results are owed only if expressly promised. The legal classification of individual services depends on their actual agreed content. In particular, specifically agreed deliverables such as texts or landing pages remain due.

5.6 Termination

Clause 14 governs term, renewal and ordinary termination. Statutory termination rights remain unaffected. Remuneration consequences of early termination are governed by valid agreements and the applicable statutory provisions; saved expenses and alternative earnings that must be credited by law are taken into account.

6 Website maintenance

6.1 Services

In its initial quotation or after completion of the website or individual parts, SEO Marketing GmbH may offer website maintenance and support services. SEO Marketing GmbH may also offer maintenance of third-party websites. Neither SEO Marketing GmbH nor the customer is obliged to offer or accept such additional services. Corresponding arrangements are subject to individual agreement.

6.2 Content of maintenance

Maintenance contracts cover rectification of malfunctions and updates as needed for commonly used web browsers in their current versions. Further details, such as regular maintenance, may be individually agreed.

6.3 Requirements

The content to be maintained must be compatible with the systems used for the agreed maintenance. SEO Marketing GmbH informs the customer of identified obstacles, such as outdated components or customer changes. Additional remuneration for establishing compatibility requires that the service is not already owed and that its scope and remuneration have been agreed beforehand.

6.4 Malfunctions

SEO Marketing GmbH is not liable for malfunctions and incompatibilities caused by unauthorised customer changes or other errors outside the responsibility of SEO Marketing GmbH; the provisions on liability and indemnification remain unaffected.

6.5 Scope

Unless otherwise agreed, maintenance covers technical updates only, not updates to website content. In particular, SEO Marketing GmbH is not required to update the legal notice or privacy policy.

7 Web hosting and domain registration

7.1 Scope and separation of domain and hosting

SEO Marketing GmbH provides hosting and domain registration services to the extent expressly agreed. The accepted quotation or incorporated service description defines services, fees and terms. Commissioning website creation alone does not create a hosting contract.

Domain registration and management, web hosting and email services are technically different services and may be provided by different providers. Registration or management of a domain with a provider therefore does not mean that website files or databases are also stored there.

Where hosting by SEO Marketing GmbH is agreed, the website is stored and operated on servers that SEO Marketing GmbH operates, rents or has made available by commissioned infrastructure operators. Storage with the previous domain provider is owed only if agreed. Different agreements on a particular hosting provider or processing location remain decisive.

Infrastructure operators are used in accordance with contractual and statutory obligations, in particular data protection requirements and any required data processing agreement. SEO Marketing GmbH remains responsible for the contractual obligations it has undertaken.

7.2 Customer access and administration

Where hosting by SEO Marketing GmbH is agreed, it administers the agreed hosting environment. On request, the customer receives administrator access restricted to its website in the content management system, where one is used.

Access to customer-specific hosting administration, for example through Plesk, may be provided where safe technical separation from other customers and internal systems is possible. There is no entitlement to server-wide administrator or root access, central agency accounts or data of other customers. This does not restrict the handover required under clause 7.8; where separate access is not possible, a suitable export is provided.

Changes made by the customer or its service provider fall within that person's responsibility insofar as they cause a malfunction for which SEO Marketing GmbH is not responsible. Liability under clause 17 remains unaffected. Additional repair services that are neither owed rectification of defects nor another contractual obligation are provided only after prior agreement on scope and remuneration.

7.3 Availability

The availability owed for the respective hosting assignment, measurement point, calculation, maintenance windows and any exceptions are defined in the accepted quotation or incorporated hosting service description. Clause 17 applies to its own breaches of duty; mandatory statutory claims remain unaffected.

7.4 IP addresses

Unless otherwise agreed, the customer is not entitled to a fixed IP address. Technically or legally necessary changes are possible, taking into account agreed operation and the customer's legitimate interests.

7.5 Protection of access credentials and authorised providers

The customer must keep supplied credentials confidential and protect them against unauthorised access. It may authorise its employees and commissioned service providers, in particular a successor website service provider, to use customer-specific access. Where technically available, separate user accounts with the necessary permissions should be used.

SEO Marketing GmbH releases access directly to a third party after verifying the customer's corresponding authorisation; approval may in particular be given by email. If unauthorised access is suspected, the affected credentials must be changed without delay and SEO Marketing GmbH informed. Responsibility for misuse is governed by statutory provisions and clause 17.

7.6 Backups

SEO Marketing GmbH creates regular backups of hosted data. Scope, backup intervals, retention periods and restoration services are defined in the agreed hosting service description. Additional backups may be separately agreed. Clause 17 applies to its own breaches of duty and data loss; use of an infrastructure operator does not affect the contractual obligations undertaken.

7.7 Domain registration

If the customer commissions domain registration services from SEO Marketing GmbH, the following additionally applies:

7.7.1 Contractual structure

SEO Marketing GmbH arranges the agreed domain registration for the customer. The customer is registered as the domain holder. Registration is subject to the terms of the relevant registry or registrar disclosed beforehand; the specific contractual and intermediary structure is disclosed to the customer before commissioning. SEO Marketing GmbH has no influence over allocation of a particular domain.

7.7.2 Infringements

The customer bears full responsibility for ensuring that its desired domain does not infringe third-party rights. A review of the domain is not owed.

7.8 Handover and change of hosting provider

The customer may have its website maintained by a service provider it commissions and transferred to a technically suitable hosting provider. SEO Marketing GmbH enables the necessary handover to the customer or a service provider it authorises. A switching request may in particular be communicated by email.

Handover covers the files belonging to the agreed website and necessary for its continued operation, including media and source code required for operation, a database copy consistent with those files at the documented handover time, and the necessary customer-specific configuration and operating information. It is provided through suitable customer-specific access or a usable export in a commonly used format. CMS access alone is sufficient only if it enables the required data to be fully backed up and transferred.

SEO Marketing GmbH and the customer coordinate the process and date without undue delay. The customer names the authorised recipient and supplies information required for the destination provider. Data of other customers, central server access and purely internal systems are not handed over. This distinction must not prevent the transfer of the customer's website that is owed.

No separate handover fee is charged for the above provision of necessary customer-specific access and handover data. Additional services that are not already contractually or legally owed, such as a separately requested redesign or development of functions, require prior agreement on scope and remuneration. Switching assistance required by law does not thereby become a chargeable additional service.

The scope of any setup by SEO Marketing GmbH at the new provider is agreed separately insofar as it is not already agreed or required by law. Responsibility for its own breaches of duty remains unaffected. Hosting operation, technical switchover and contract termination are coordinated. Statutory switching and termination rights are not restricted by contractual terms or this clause.

Return, continued provision and deletion of customer data follow agreed and statutory periods and any required data processing agreement. Before contractual deletion, the customer is given the opportunity to take over data that is owed; statutory retention obligations remain unaffected.

7.9 Domain transfers and email services

Changing web hosting does not necessarily require changing the domain provider. Where SEO Marketing GmbH manages the domain and the customer requests a domain transfer, SEO Marketing GmbH, after verifying its authorisation, supplies the necessary approvals or transfer codes or arranges for them to be supplied by its registrar.

A domain transfer does not automatically transfer website files, databases or email mailboxes. Any necessary email migration, DNS changes and technical switchover must be expressly coordinated as part of the handover process. The contract defines the email services undertaken; statutory switching obligations remain unaffected.

8 Video and photography

8.1 Services

SEO Marketing GmbH creates videos and photographs according to the agreed scope of services, brief and intended use. There is artistic freedom within those requirements. Professional review of customer requests concerns technical and design feasibility; a legal review under clause 3.1 is not owed. Artistic freedom does not restrict bindingly agreed characteristics or statutory rights concerning defects.

8.2 Revision rounds

Unless otherwise agreed, two rounds of image-editing revisions, for example relating to filters and effects, are included. The scope and remuneration of additional change requests outside the services agreed are agreed separately. Remedial performance required by law, including any necessary recreation, remains unaffected and does not count towards the revision rounds.

8.3 Third-party consents

Where the customer supplies people for recordings or photographs, it obtains the necessary consents and usage permissions within its area of responsibility, in particular for employees and models. The own data protection and other statutory obligations of SEO Marketing GmbH remain unaffected.

8.4 Acceptance

Acceptance of completed work in video and photography is governed by clause 12.

8.5 Copyright notices

Unless otherwise individually agreed, SEO Marketing GmbH may require an appropriate copyright notice to be placed at a suitable location on the works created.

8.6 Data handover

Unless otherwise agreed or otherwise expected from the contractual purpose, the customer generally receives only finished edited recordings suitable for the relevant intended use. It is not entitled to raw data or editable files such as RAW files.

9 SEO marketing and SEA campaigns

9.1 Search engine optimisation

Clause 5 governs search engine optimisation. Clause 14 governs term, renewal and ordinary termination uniformly.

9.2 SEA campaigns

Within the agreed scope, SEO Marketing GmbH proposes keywords and advertising measures and conducts approved SEA campaigns. A particular ranking, sales volume or other commercial result is owed only if expressly promised.

Agency fees, approved advertising budgets and actual platform costs must be distinguished. Paid advertisements are placed only within the agreed or approved budget. A legal trademark review of keywords is not part of the services; the customer arranges the required legal review and approval. Breaches of duty by SEO Marketing GmbH itself continue to be assessed under clause 17.

Clause 14 governs term and termination. In the event of early termination, remuneration and reimbursement of expenses are governed by valid agreements and statutory provisions; platform costs not incurred are not invoiced as actually disbursed costs.

10 Social media campaigns

10.1 Services

Unless otherwise agreed, the customer supplies the required texts and images. Additional creation of missing content by SEO Marketing GmbH takes place only after prior agreement on scope and remuneration or within an already approved budget.

10.2 Access

The customer provides the access and permissions to its social media channels required for the agreed services in good time. Where supported by the platform, access is granted through suitable user roles or invitations.

If required access or permissions are missing, SEO Marketing GmbH informs the customer and sets a reasonable cooperation period. Clause 3.4 applies insofar as performance is delayed as a result.

Any remuneration, compensation or damages claims due to missing cooperation are subject to statutory requirements. Saved expenses and alternative earnings or earning opportunities are taken into account insofar as the law requires them to be credited.

10.3 Term

The term, renewal and ordinary termination of social media contracts are governed by the respective accepted quotation and clause 14. These Terms do not set fixed standard terms or renewal periods for them.

11 Prices and remuneration

11.1 Remuneration

Remuneration, approved third-party costs and payment schedules follow the accepted quotation and valid contractual agreements. Formation of the contract is governed by clause 2.

11.2 Pricing

All prices are exclusive of applicable statutory VAT unless otherwise agreed.

11.3 Recurring payments

Recurring monthly or annual fees are payable, insofar as validly agreed, in advance for the service period specified in the invoice. The specific due date follows the agreed payment provisions and the invoice. Invoicing during a service period that has already begun does not retrospectively move the due date to before receipt of the invoice.

11.4 One-off payments

Unless a different valid payment schedule has been agreed, instalment payments for work are governed by proven progress of performance and statutory requirements. The due date of final remuneration follows statutory provisions, in particular any required acceptance.

11.5 Set-off and retention

Set-off against counterclaims by the customer or withholding payment on that basis is permitted only insofar as the counterclaims are undisputed, have been finally established by a court, or arise from the same assignment under which the relevant service is provided.

11.6 Advance payments

If circumstances become apparent after conclusion that jeopardise the remuneration claim due to the customer's inability to perform, refusal of performance, security and advance payment are governed by statutory requirements, in particular section 321 BGB. Otherwise, already validly agreed payment schedules remain decisive.

12 Acceptance

Where work is agreed, SEO Marketing GmbH makes the completed work available for examination and requests acceptance. It sets a period appropriate to the scope and effort required for examination, normally 14 days from availability of the work and receipt of the acceptance request. Circumstances requiring a longer examination period must be taken into account.

The conditions and consequences of deemed acceptance follow section 640(2) BGB. In particular, it does not arise if the customer refuses acceptance within the specified period and identifies at least one defect. Complete proof of the defect is not required for this purpose.

Acceptance may be confirmed in text form, in particular by email. Acceptance may not be refused due to minor defects; statutory rights concerning defects, including statutory requirements for any necessary reservation at acceptance, remain unaffected. Otherwise, statutory acceptance rules apply.

13 Rights concerning defects

Defects in the agreed services are governed by statutory provisions. Minor defects can also give rise to statutory rights. The obligation to accept where defects are merely minor is governed by clause 12.

The conditions, type and performance of remedial work and further rights concerning defects follow statutory provisions. Clause 17 additionally applies to damages claims.

Statutory limitation periods and statutory rules on their commencement, suspension and recommencement apply.

14 Term of ongoing services

14.1 Term under the quotation

The commencement, term and any minimum term of ongoing services are defined exclusively in the respective accepted quotation. These Terms do not set a general minimum term. In the absence of a valid agreement, the statutory rules applicable to the respective contract apply.

14.2 Renewal and termination

Renewal and the notice periods and dates for ordinary termination are governed exclusively by the valid provisions of the respective accepted quotation. These Terms establish neither automatic renewal nor fixed renewal periods. In the absence of a valid agreement, the statutory rules applicable to the respective contract apply.

Termination may be declared in text form, in particular by email. Statutory rights of termination for cause and mandatory switching and termination rights, in particular under Chapter VI of the Data Act where applicable, remain unaffected by agreed terms and renewals.

15 Usage rights, self-promotion and attribution

15.1 Customer usage rights

Unless otherwise agreed, after full payment of the remuneration agreed for the respective deliverable, the customer receives a non-exclusive right to use deliverables created by SEO Marketing GmbH for the agreed contractual purpose, without restrictions in time or territory. Previously expressly permitted use remains permissible within its agreed scope.

For a created website, usage rights specifically cover operation on technically suitable infrastructure of another hosting provider, the reproduction and backup required for that purpose, and editing, maintenance and further development by the customer or providers it commissions. Commissioning such providers requires no separate consent from SEO Marketing GmbH insofar as they act on the customer's behalf and comply with its scope of use.

Open-source software and other third-party components are subject to their respective licence terms. Non-transferable update, support or cloud subscriptions tied to an agency account must be distinguished from usage rights in the software deployed. Affected components, known restrictions and any separate customer contracts required are specifically identified before the contract is concluded. For third-party components additionally agreed later, that information is provided before commissioning or approval.

Existing customer rights in its own content and data, and mandatory statutory handover, access and switching rights, are not restricted by the above payment and licensing provisions. Handover under clause 4.9 and switching under clause 7.8 remain decisive.

15.2 Public use

Unless otherwise agreed, SEO Marketing GmbH may present already published project results and the business relationship as a reference in its portfolio to a reasonable extent. Confidential or unpublished content is not covered. Third-party rights, data protection requirements and confidentiality under clause 16 must be observed; any necessary separate consents are not replaced by this clause.

15.3 Links

Insofar as transparently specified in the quotation and unless otherwise agreed, SEO Marketing GmbH may place a reasonable agency credit with a link in the footer of the created website. Any notice in the legal notice must not impair the customer's statutory responsibility information or claim authorship inaccurately. Individual design agreements remain decisive.

16 Confidentiality

SEO Marketing GmbH treats all business matters of which it becomes aware as strictly confidential, including in particular printing documents, layouts, storyboards, numerical material, drawings, audio tapes, images, videos, DVDs, CD-ROMs, interactive products and other documents containing films, audio dramas or other copyright-protected material of the customer or affiliated companies.

SEO Marketing GmbH undertakes to impose confidentiality obligations on all employees and third parties, for example suppliers, designers, programmers, film producers and recording studios, who have access to those business matters. Confidentiality continues indefinitely beyond the term of the contract.

17 Liability and indemnification

17.1 Essential contractual obligations

Liability of SEO Marketing GmbH for all damage is limited as follows:

For a slightly negligent breach of an essential contractual obligation, liability is limited in amount to the foreseeable damage typical of the contract at conclusion. Essential obligations are those whose fulfilment enables proper performance of the contract and on whose observance a party may regularly rely. This limitation does not apply to gross negligence, intentional conduct or mandatory statutory liability, in particular assumption of a guarantee or culpable injury to life, body or health. The above liability provisions also apply to liability of SEO Marketing GmbH for its vicarious agents and legal representatives.

17.2 Third-party claims

The customer indemnifies SEO Marketing GmbH against justified third-party claims insofar as they are based on an infringement for which the customer is responsible through content or instructions it supplies. Any responsibility shared by SEO Marketing GmbH is taken into account under statutory provisions.

Indemnification covers necessary and reasonable defence costs. SEO Marketing GmbH informs the customer of asserted claims, enables its reasonable participation in the defence and, insofar as reasonable and legally possible, coordinates acknowledgements and settlements with it beforehand.

18 Final provisions

18.1 Applicable law

Contracts between SEO Marketing GmbH and its customers are governed by the law of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods.

18.2 Jurisdiction

For customers who are merchants within the meaning of German commercial law, legal entities under public law or special funds under public law, the registered office of SEO Marketing GmbH is agreed as the place of jurisdiction insofar as legally permissible. Exclusive statutory jurisdictions remain unaffected. In all other cases, statutory jurisdiction rules apply.

18.3 Amendments to these Terms

Amendments to these General Terms and Conditions take effect for existing contractual relationships only if validly agreed with the customer. SEO Marketing GmbH may send the customer a proposed amendment in text form. Failure to respond does not constitute consent.

Rejection of a proposed amendment does not in itself establish a right of termination for cause. Statutory termination rights and validly agreed ordinary termination rights remain unaffected.

18.4 Severability

If individual provisions of these General Terms and Conditions are invalid or have not become part of the contract, the legal consequences are governed by section 306 BGB.
